Terms of Use

1. Eligibility and Age Restriction

The Site and any information or materials available on it are intended solely for individuals who are 21 years of age or older and who are located in jurisdictions where access is lawful.

By using the Site, the user represents and warrants that:

• ▸The user is at least 21 years of age.
• ▸The user has the legal capacity to enter into these Terms.
• ▸The user's use of the Site complies with all applicable laws, including Minnesota cannabis laws.

Kind Bud reserves the right to restrict or deny access to anyone who does not meet these requirements. Age verification may be required for certain features or communications consistent with Minnesota Statutes § 342.64.

2. Nature of the Site and Kind Bud's Business

Kind Bud Inc is a licensed cannabis cultivator. The Site provides general information about Kind Bud, cultivation practices, and (where permitted) products or wholesale opportunities.

Important limitations:

• ▸The Site does not constitute an offer to sell cannabis flower or products directly to consumers unless expressly stated and conducted in full compliance with Minnesota law and Kind Bud's license endorsements.
• ▸Cultivator licenses primarily authorize supply-chain activities (growing, harvesting, etc.). Any sales or transfers occur only to properly licensed entities as authorized under Minnesota Statutes § 342.30 and related rules.
• ▸Nothing on the Site is intended as medical, therapeutic, or legal advice. Cannabis products have not been evaluated or approved by the U.S. Food and Drug Administration (FDA).

3. Required Cannabis Warnings and Advertising Compliance

Any content on the Site that promotes Kind Bud, cannabis flower, or related products is subject to Minnesota Statutes § 342.64 (advertising restrictions).

Kind Bud does not make unverified health or therapeutic claims, promote overconsumption, use content likely to appeal to individuals under 21, or engage in other prohibited advertising practices under § 342.64. Unsolicited pop-up advertising is prohibited. Direct individualized marketing requires age affirmation that the recipient is 21 or older.

4. Intellectual Property

All content on the Site—including text, graphics, logos, images, photographs, videos, product descriptions, trademarks, trade dress, and software—is owned by Kind Bud Inc or its licensors and is protected by United States and international intellectual property laws.

The user may view and temporarily download materials for personal, non-commercial use only. The user may not:

• ▸Copy, modify, distribute, sell, lease, or create derivative works from Site content without prior written consent from Kind Bud.
• ▸Use Kind Bud's name, logos, or trademarks without authorization.
• ▸Scrape, data-mine, or use automated tools to extract content.

All rights not expressly granted are reserved.

5. Acceptable Use and Prohibited Conduct

The user agrees to use the Site only for lawful purposes and in accordance with these Terms. The user shall not:

• ▸Use the Site in any way that violates federal, state, or local law (including Minnesota cannabis statutes and rules).
• ▸Attempt to gain unauthorized access to the Site, other accounts, or related systems.
• ▸Transmit malware, spam, or harmful code.
• ▸Harass, threaten, or impersonate others.
• ▸Interfere with the proper working of the Site.
• ▸Use the Site to solicit or facilitate illegal activity, including sales or transfers of cannabis outside licensed channels.
• ▸Reverse-engineer or attempt to discover source code.
• ▸Collect or harvest personal information of other users.

Kind Bud reserves the right to monitor use and to suspend or terminate access for violations.

6. User Submissions and Communications

If the user submits information, inquiries, feedback, or other content through the Site (including contact forms), the user grants Kind Bud a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, and process that content for business purposes consistent with the Privacy Policy and applicable law.

The user represents that any information provided is accurate and that the user has the right to provide it. The user must not submit confidential or proprietary information unless specifically requested under a separate agreement.

7. Third-Party Links and Services

The Site may contain links to third-party websites or services. Kind Bud is not responsible for the content, accuracy, or practices of those third parties. Accessing them is at the user's own risk and subject to their terms and policies.

8. Disclaimers

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ACCURACY.

Kind Bud does not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses.

Cannabis-specific disclaimers:

• ▸Cannabis remains illegal under federal law (Controlled Substances Act). State-legal activity does not alter federal status.
• ▸Information on the Site is for general informational purposes only and is not medical, health, or legal advice. Consult qualified professionals.
• ▸Products (if referenced) may cause impairment. Do not drive or operate machinery while under the influence. Keep products away from children and pets.
• ▸Kind Bud makes no guarantees regarding availability, quality consistency across batches, or specific effects of any products.

Some jurisdictions do not allow the exclusion of certain warranties; in those cases, the above exclusions apply to the fullest extent permitted by law.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KIND BUD INC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOST PROFITS, DATA, OR GOODWILL) ARISING OUT OF OR RELATED TO THE USER'S USE OF (OR INABILITY TO USE) THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

KIND BUD'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and survive termination of these Terms.

10. Indemnification

The user agrees to indemnify, defend, and hold harmless Kind Bud Inc and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) the user's use of the Site; (b) the user's violation of these Terms; (c) the user's violation of any law or the rights of a third party; or (d) any content the user submits.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Site shall be resolved exclusively in the state or federal courts located in Minnesota (preferably Wright County or the District of Minnesota), and the user consents to personal jurisdiction there.

The user agrees that any claim must be brought individually and not as part of a class action.

12. Changes to These Terms

Kind Bud may update these Terms at any time. The "Last Updated" date will reflect changes. Material changes will be posted on the Site. Continued use of the Site after changes become effective constitutes acceptance of the revised Terms. If the user does not agree, the user must stop using the Site.

13. Termination

Kind Bud may suspend or terminate access to the Site at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, the user's right to use the Site ceases immediately. Provisions that by their nature should survive (including intellectual property, disclaimers, limitations of liability, indemnification, and governing law) will survive.

14. Miscellaneous

• ▸Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between the user and Kind Bud regarding the Site and supersede prior agreements.
• ▸Severability: If any provision is held invalid or unenforceable, the remaining provisions remain in full force.
• ▸Waiver: Failure to enforce any right does not constitute a waiver.
• ▸Assignment: The user may not assign these Terms without Kind Bud's consent. Kind Bud may assign them freely.
• ▸Force Majeure: Kind Bud is not liable for delays or failures due to circumstances beyond its reasonable control.
• ▸Headings: Headings are for convenience only.
